GENERAL TERMS, CONDITIONS AND NOTICES FOR USE OF THE OEACCESSORIES.COM AND IGACCESSORIES.COM WEB SITES

The following terms and conditions govern your use of the oeaccessories.com and igaccessories.com Web Sites and Catalog pages (collectively the "oeaccessories.com and igaccessories.com Web Sites") and the materials available therein ("Materials"):

2. WEB APPLICATION USAGE
   1. Insignia Group, LC (hereinafter "IG") makes available the oeaccessories.com and igaccessories.com Web Sites, as it may exist from time-to-time, to all end users. By using the oeaccessories.com and igaccessories.com Web Sites, you agree to be bound by and comply with the terms and conditions herein contained. If you do not agree to these terms and conditions, including any future revisions hereof, you may not use the oeaccessories.com and igaccessories.com Web Sites.
3. USER REQUIREMENTS
   1. All Users are responsible for obtaining, maintaining and paying for their own Internet connection with an Internet service provider ("ISP") of their choice. Local access dial-up numbers may not be available in all areas. Users are solely responsible for determining if use of a particular ISP will cause them to incur long-distance, toll, or other charges. IG is not responsible for any connection or telecommunications charges incurred. Users shall be responsible for any sales or use tax imposed by any governmental agency against any charges made. Any such sales or use tax shall be added to the charges billed.
4. LICENSE; RESTRICTIONS ON USE
   1. Users are granted a nonexclusive, nontransferable, limited license to access the oeaccessories.com and igaccessories.com Web Sites and Materials from time-to-time made available. This license includes:
      1. The right to electronically display materials retrieved from the oeaccessories.com and igaccessories.com Web Sites on a personal PC or internet enabled device.
      2. The right to obtain a printout of Materials via printing commands of the oeaccessories.com and igaccessories.com Web Sites ("Authorized Printout").
   2. Except as specifically provided in Sections 4.a and 5.b, you are prohibited from downloading, storing, reproducing, transmitting, displaying, copying, distributing or using Materials retrieved from the oeaccessories.com and igaccessories.com Web Sites.
   3. All right, title, and interest (including all copyrights and other intellectual property rights) in the oeaccessories.com and igaccessories.com Web Sites and Materials (in both print and machine-readable forms) belong to the provider of the OEAccessories.com Web Site or its third party suppliers of materials. You acquire no proprietary interest in the oeaccessories.com and igaccessories.com Web Sites, Materials or copies thereof.
   4. Except as specifically provided herein, you may not use the oeaccessories.com and igaccessories.com Web Sites or Materials retrieved from the oeaccessories.com and igaccessories.com Web Sites in any fashion that infringes the copyrights or proprietary interests therein.
   5. Users may not remove or obscure the copyright notice or other notices contained in Materials retrieved from the oeaccessories.com and igaccessories.com Web Sites.
   6. Other provisions that govern use of Materials are set forth in the Supplemental Terms for Specific Materials, online descriptions of files, online notices following file selection, and individual documents retrieved from the oeaccessories.com and igaccessories.com Web Sites (collectively, the "Additional Terms"), all of which are incorporated by reference into these General Terms and Conditions.
5. ACCESS TO SERVICES
   1. All Users are authorized to use the oeaccessories.com and igaccessories.com Web Sites.
   2. Users may be restricted from accessing certain Materials otherwise available in the oeaccessories.com and igaccessories.com Web Sites.
   3. Materials may be added to or withdrawn from the oeaccessories.com and igaccessories.com Web Sites and the oeaccessories.com and igaccessories.com Web Sites otherwise changed without notice.
6. LIABILITY DISCLAIMER
   1. IG represents and warrants that it has the right and authority to make the oeaccessories.com and igaccessories.com Web Sites and Materials available pursuant to these General Terms and Conditions.
   2. IG MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE oeaccessories.com and igaccessories.com Web Sites FOR ANY PURPOSE. THE oeaccessories.com and igaccessories.com Web Sites AND MATERIALS ARE PROVIDED ON AN "AS IS", "AS AVAILABLE" BASIS AND IG AND EACH THIRD PARTY SUPPLIER OF MATERIALS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
   3. THE INFORMATION, SOFTWARE, PRODUCTS AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE IG WEB SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. IG MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE oeaccessories.com and igaccessories.com Web Sites AT ANY TIME.
   4. IN NO EVENT SHALL IG AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE IG WEB SITE, WITH THE DELAY OR INABILITY TO USE THE IG WEB SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE IG WEB SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE IG WEB SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF IG OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE IG WEB SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE IG WEB SITE.
7. MISCELLANEOUS
   1. These General Terms and Conditions may be changed from time-to-time. IG may change all other provisions immediately upon notice. Access to the OEAccessories.com Web Site may be terminated immediately upon notice to IG if any change is unacceptable.
   2. Except as otherwise provided herein, all notices and other communications hereunder shall be in writing or displayed electronically in the OEAccessories.com Web Site. Notices shall be deemed to have been properly given on the date deposited in the U.S. Mail, if mailed; on the date first made available, if displayed in the oeaccessories.com and igaccessories.com Web Sites; or on the date received, if delivered in any other manner. Notices to IG should be sent to IG, Customer Service, 153 South Oakland Ave. , Rock Hill , SC 29730 .
   3. The failure of IG or any third party supplier of Materials to enforce any provision hereof shall not constitute or be construed as a waiver of such provision or of the right to enforce it at a later time.
   4. This agreement is governed by the laws of the State of Florida, U.S.A., without regard to conflict of laws provisions. You hereby consent to the exclusive jurisdiction and venue of courts in Pinellas County, Florida, U.S.A. in all disputes arising out of or relating to the use of the oeaccessories.com and igaccessories.com Web Sites. Use of the oeaccessories.com and igaccessories.com Web Sites is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment or agency relationship exists between you and IG as a result of this agreement or use of the oeaccessories.com and igaccessories.com Web Sites. IG's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of IG's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the oeaccessories.com and igaccessories.com Web Sites or information provided to or gathered by IG with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law, including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and IG with respect to the oeaccessories.com and igaccessories.com Web Sites and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and IG with respect to the oeaccessories.com and igaccessories.com Web Sites. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
8. NOTICES AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT
   1. Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent to Insignia Group, LC 153 South Oakland Ave., Rock Hill, SC 29730. ALL NON-RELEVANT INQUIRIES WILL RECEIVE NO RESPONSE.
